ROI and VIES rejected: why your VAT number is denied

A rejected VAT number in the Spanish ROI and VIES stops intra-EU trade: without registration you cannot zero-rate supplies or receive goods VAT-free. The refusal is not a full audit, but it calls for operational evidence within strict deadlines.

Common census grounds

The tax agency refuses ROI entry for unproven premises, no effective activity, unreachable directors, or gaps between Forms 036 and 037, business tax registration and lease contracts. Missing the prior 10-working-day information request or filing deeds without valid powers also counts. Each formal defect is treated as a sign of no real activity.

Operational and risk grounds

Even with a clean census, the VAT number is refused where there are no human or material resources, where EU trade is only planned with no quotes or orders, or where carousel-fraud risk is flagged. Reporting intra-EU supplies on Form 349 without ROI status, or a 100% shareholder change before registration, increases that risk. Pro-forma invoices and logistics proof reduce the risk of refusal.

How to remedy and appeal

File an updated Form 036 with address, activity code and first supply date, attaching the lease, utilities, staff or service contracts, catalogue and two or three documented transactions. Against a refusal, file a reconsideration appeal within 1 month or a claim to the regional tax tribunal within 1 month, asking for suspension where harm is hard to repair. Do not treat new supplies as exempt until VIES shows active status.

How this differs from an audit
